This End-User License Agreement ("Agreement") is a legal contract between you ("User" or "Licensee") and Square Bridge ("Licensor," "we," or "us") concerning your use of our software product, Square Bridge Platform ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant & Restrictions

1.1. License Grant

Subject to the terms and conditions of this Agreement, the Licensor grants the User a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for personal or internal business purposes.

1.2. License Restrictions

The User agrees not to:

• Modify or Create Derivative Works: Alter, adapt, translate, or create derivative works based on the Software.
• Reverse Engineer: Decompile, disassemble, or reverse engineer the Software, except to the extent permitted by applicable law.
• Resell or Distribute: Sell, rent, lease, sublicense, distribute, or otherwise transfer the Software to any third party.
• Remove Notices: Remove, alter, or obscure any proprietary notices or labels on the Software.

2. Ownership & Copyrights

2.1. Intellectual Property Rights

The Software is protected by copyright laws, international copyright treaties, and other intellectual property laws and treaties. All rights, title, and interest in and to the Software, including all intellectual property rights, are and shall remain the exclusive property of the Licensor.

2.2. No Implied Rights

Except for the limited rights expressly granted herein, this Agreement does not grant the User any rights to patents, copyrights, trade secrets, trademarks, or any other rights concerning the Software.

3. Prohibited Uses

The User agrees not to use the Software to:

• Unlawful Activities: Engage in any unlawful, illegal, or fraudulent activities.
• Infringe Rights: Infringe upon the intellectual property rights or other rights of any third party.
• Transmit Harmful Content: Transmit any viruses, malware, or other harmful computer code.
• Interfere with Networks: Interfere with or disrupt networks connected to the Software or violate the regulations, policies, or procedures of such networks.

4. Software Updates & Changes

4.1. Updates

The Licensor may, from time to time, provide updates, enhancements, or improvements to the Software. Such updates may be provided automatically or may require manual installation. The terms of this Agreement shall apply to any updates unless such updates are accompanied by a separate license agreement.

4.2. Changes to the Agreement

The Licensor reserves the right to modify this Agreement at any time. Any such modifications will be effective upon the posting of the updated Agreement on our website or through the Software. Continued use of the Software after any such changes shall constitute your consent to such changes.

5. Termination

5.1. Termination by Licensor

The Licensor may terminate this Agreement immediately, with or without notice, if the User fails to comply with any term of this Agreement.

5.2. Effect of Termination

Upon termination, the User shall cease all use of the Software and destroy all copies, full or partial, of the Software.

6. Disclaimer of Warranties

The Software is provided "AS IS" without warranty of any kind. The Licensor disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will meet the User's requirements or that the operation of the Software will be uninterrupted or error-free.

7. Limitation of Liability

In no event shall the Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the use of the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
